Who you are contracting with:

www.fannyhill.co.za (the "Website" or “Fanny Hill”) is owned and operated by Teck Concept, registration number: 2011/101866/23 (hereinafter referred to as "Fanny Hill").

Visitors to the Website ("Users" or "you"), including those Users who purchase any products on the Website ("Purchasers") are bound by these terms and conditions ("T&C’S"). If you do not agree to these T&C’S, do not continue to use the Website. Your continued use of the Website will constitute acceptance of the T&C’S, unmodified by you.

Lay-out of these T&C’S: These T&C’S apply to your use of, and purchases made on, the Website and are divided into four (4) sections as follows:

  • Part 1 – Purchases from www.fannyhill.co.za – terms and conditions applying to purchases from Fanny Hill, use of the Website and any purchases made by you on the Website. Please take note of the Disclaimer clause in particular

Part 1 - Purchases from www.fannyhill.co.za

Agreements of Sale

Placing a product in a shopping basket or adding it to a wishlist without completing the purchase cycle does not:

•constitute an agreement of sale; and/or

•constitute an order for such product,

An agreement of sale only comes into effect if and when:

•you electronically submit a properly completed order for one or more products in your shopping basket; and

•payment is either authorised, or received by Fanny Hill in its bank account

Security

Any person that delivers or attempts to deliver any damaging code to this Website or attempts to gain unauthorised access to any page on this Website shall be prosecuted and civil damages shall be claimed in the event that Fanny Hill suffers any damage or loss.

You agree and warrant that your log-in name and password shall:

•be used for your personal use only; and

•not be disclosed to any third party.

You allow Fanny Hill to take all reasonable steps to ensure the integrity and security of the Website and back-office applications.

All credit card transactions are Secure Socket Layers encrypted with GeoTrust QuickSSL®.

All credit card transactions are processed by Virtual Card Services or Paypal.

Fanny Hill Products & Availability

•Identification of Fanny Hill products:

Although Fanny Hill endeavours to accurately describe and/or depict each product on the Website, some descriptions, photographs or YouTube video’s may be of a generic and limited nature. However, should you be dissatisfied with the product you receive for any reason, you are entitled to return the unopened product to Fanny Hill for a full refund within 7 days of delivery. Please see our Refund Policy in this regard (which explains how and when you can be refunded, as well as how returns are to be made).

•Stock availability

Stocks of all goods on offer are limited. Fanny Hill shall take all reasonable efforts to ensure that when stock is no longer available, that offers thereof are discontinued. However, should Fanny Hill be unable to fulfil any order placed by you at the advertised price due to stock having sold out, Fanny Hill will notify you and you will be entitled to a refund of the amount paid by you for such product, as explained in more detail in the Return/Refund Policy ("Refund Policy")

Termination of Sales & Cancellation of Orders

•On behalf of Fanny Hill: Fanny Hill reserves the right, for purposes of preventing suspected fraud , to refuse to accept or process payment on any order, and/or to cancel any sale concluded between you and Fanny Hill, in whole or in part, on notice to you. Fanny Hill shall only be liable to refund monies already paid by you (see Fanny Hill's Refund Policy in this regard), and accepts no other liability which may arise as a result of such refusal to process any order/sale.

•On behalf of You: Save for certain exceptions (part-shipped orders), and subject to certain charges, the Electronic Communications and Transactions Act 25 of 2002 ("ECT Act") entitles you to cancel any sale concluded on this Website within 7 days after date of receipt of the goods and to obtain a full purchase price refund. You may also cancel a sale where delivery is delayed beyond the stipulated delivery date/timeframe (or where none is specified, beyond 30 days from the order date). Please read the Refund Policy for further details in this regard.

Amounts payable by You

•Prices:

The price of each product is displayed with the product listing. In the event of a sale or special offer, the discounted price is displayed.

•Delivery Charges:

Delivery charges rarely differ at Fanny Hill. We charge a standard flat rate on all deliveries within the borders of South Africa, the current rate is R140 for door-to-door delivery via Courier IT. On orders over 10kgs, should there be a difference exceeding the standard rate, it will be billed to your account. Overseas orders will be charged a flat rate of R600 and notified of any discrepancies.

•Value Added Tax:

Presently, Value added tax at the rate of 14% is not charged on goods bought by South African residents. VAT is also not payable on orders if both the billing and the shipping address are international.

•Import Duties:

Import duties may be payable by recipients of goods in foreign countries. Fanny Hill does not know what import duties/levies may be payable and cannot calculate or estimate such costs. You are responsible for determining whether any such import duties/levies are payable and, if so, the amount thereof.

•Errors:

Fanny Hill shall take all reasonable efforts to accurately indicate prices and delivery charges. However, should products be erroneously offered at incorrect prices and/or delivery charges, Fanny Hill will not be obliged to sell products at such incorrect prices and/or delivery charges, but shall refund monies paid by you should you not wish to proceed with the purchase at the correct price and/or delivery charge.

Payment Methods

Subject to the Exception listed below, your payment for any products ordered from Fanny Hill must be made to Fanny Hill's bank account in any one of the following ways:

•Credit card payments.

At the time of placing the order, the transaction details are presented to the bank and payment is collected immediately. If bank’s authorisation is not obtained, the order will be cancelled.

•Bank deposits & Electronic Funds Transfer.

If you select the 'pay via bank deposit' option, instructions will be given on how to deposit monies into Fanny Hill's bank account and it would be subject to the following rules:

◦the exact amount must be paid;

◦the payment must be identified by supplying the order number and surname in the reference section of the deposit slip or on the electronic transfer;

◦no transfers may be made from ATM's;

◦cheque deposits are subject to a clearing period;

◦no bank deposits are accepted from outside the borders of South Africa; and

◦your order will be cancelled if you choose to pay by bank deposit and the amount due is not paid within 7 business days.

•PayPal Website Payments

You can only pay via PayPal if you are a registered user thereof and your credit card details are on record with PayPal. If you are not a registered PayPal user, your registration as such may be facilitated as follows:

By selecting payment by PayPal, you will be redirected to a PayPal webpage. PayPal will verify your identity and determine whether you are a registered PayPal user who has placed your credit card details on record with PayPal and pursuant to such verification, the PayPal webpage will either –

◦request you to register with PayPal and redirect you to the PayPal website in order to do so;

◦confirm your registration with PayPal, but require you to save your credit card details with PayPal; or

◦confirm your registration with PayPal and display the credit card details PayPal has on record for you, requesting you to confirm that payment proceed against one of the credit cards so displayed.

◦You hereby acknowledge and agree that upon clicking on "pay by PayPal", Fanny Hill will disclose to PayPal all the customer information Fanny Hill has on record for you as is necessary so as to enable PayPal to verify your identity and determine whether you are a registered PayPal user who has placed your credit card details on record with PayPal.

EXCEPTIONS:

Pre-order products: Products identified as being on pre-order (in that they can be ordered in advance of their public release date) can only be paid for by credit card.

Gift Vouchers & Promotional Gift Certificates

Fanny Hill may make physical and/or electronic gift vouchers (“Vouchers”), as well as electronic promotional coupons (“Coupons”) available on the Website from time to time.

General

Vouchers and Coupons can only be redeemed -

•while they are valid, their expiry dates being unable to be extended;

•on the Website towards the purchase of Fanny Hill products.

Gift & Discount Vouchers

Electronic Gift Vouchers can be purchased and will be delivered to your chosen recipient’s email address. Payment for the electronic Voucher/s will also be obtained from the bank immediately.

Gift Vouchers cannot be –

•used to purchase other Vouchers;

•exchanged for cash or

•transferred or assigned to any other person once already partially redeemed towards a purchase.

Gift Vouchers do not have a specified expiry date and can be redeemed at the recipient’s leisure.

Gift Vouchers can be used to purchase any Fanny Hill products on the Website.

Promotional Discount Vouchers

Please note that certain Discount Vouchers may be product-specific in that they can only be used to purchase specific Fanny Hill products listed on the Website.

Vouchers are issued electronically at Fanny Hill's own discretion. Users do not have a right to Vouchers and Vouchers cannot be earned.

Vouchers are issued under specific terms and conditions regulating when and how they may be used. As a general rule, and unless specified otherwise on the specific Voucher itself –

•a Voucher can only be used with promotional offers on the Website;

•only one Voucher can be used per shopping basket; and

•the value of the Voucher will be set off against the value of your shopping basket and the balance remaining, if any, will be payable by you. Please note the following exception in this regard: should the value of the products in your shopping basket have qualified for 'Free Delivery', but after application of the Voucher to such basket, the remaining balance is less than the value required in order to qualify for Free Delivery, delivery costs in respect of such basket will be added and be payable by you.

Promotional Vouchers have expiry dates for usage on Fanny Hill.

Note that Promotional Discount Vouchers cannot be –

•used to purchase other Vouchers or;

•exchanged for cash

Restrictions on Sales

Age restrictions:

The onus is on you to ensure that you meet the age restrictions (18 years) applicable to products ordered by you on the Website and that these restrictions are observed. Accordingly you indemnify Fanny Hill from any and all liability in this regard, including any liability arising as a result of your failure to provide accurate information in this regard when completing the Website registration process.

Disclaimer

Save for Fanny Hill being liable to you –

•under the Consumer Protection Act 68 of 2008 (“CPA”) in relation to any products sold by Fanny Hill to you via the Website; and

•under sections 43(5) and 43(6) of the ECT Act in relation to Fanny Hill’s payment systems not being sufficiently secure,

Neither Fanny Hill nor any of its agents or representatives shall be liable for any damage, loss or liability of whatsoever nature arising from the use or inability to use this Website or the services or content provided from and through this Website. Furthermore, Fanny Hill makes no representations or warranties, implied or otherwise, that, amongst others, the content and technology available from this Website are free from errors or omissions or that the service will be 100% uninterrupted and error free. You are encouraged to report any possible malfunctions and errors to ts@fannyhill.co.za.

Although the products sold via the Website may be under warranty, the Website itself is supplied on an "as is" basis and has not been compiled or supplied to meet your individual requirements. It is your sole responsibility to satisfy yourself prior to accepting these T&C’S that the service available from and through this Website will meet your individual requirements and be compatible with your hardware and/or software.

Information, ideas and opinions expressed on this Website should not be regarded as professional advice or the official opinion of Fanny Hill and you are encouraged to consult professional advice before taking any course of action related to information, ideas or opinions expressed on this Website.

Governing Law and Jurisdiction

This Website is hosted, controlled and operated from the United States of America (USA) and The Republic of South Africa, and hence is therefore governed by the laws in the of both Countries.

Changes to Agreement

Fanny Hill may, in its sole discretion, change these T&C’S or any part thereof at any time on notice to you. It is your responsibility to ensure that you are satisfied with the amendments. Should you not be satisfied with the amendments, you must refrain from placing any further orders on, or from using in any way, the Website.

Disputes

Between you and Fanny Hill

Save for urgent or interim relief which may be granted by a competent court, in the event of any dispute of any nature whatsoever arising between you and Fanny Hill on any matter provided for in, or arising out of these T&C’S, and not resolved through the Customer Relations Department of Fanny Hill, then such a dispute shall be submitted to confidential arbitration in terms of the expedited rules of the Arbitration Foundation of South Africa. Address for Notices

Fanny Hill chooses as its address for all purposes under these T&C’S, whether in respect of court process, notice, or other documents or communication of whatsoever nature, the following address: P.O.Box 1275, Bedfordview, 2008, South Africa, with a copy to orders@fannyhill.co.za (the sending of such copy being required in order for any notice to be validly delivered to Fanny Hill).

Term and Termination

These T&C’S shall commence from the date on which they are published on the Website and continue indefinitely, as amended by Fanny Hill from time to time (as described above), for so long as the Website exists and is operational, Fanny Hill being entitled to terminate these T&C’S and/or shut down the Website at any time (subject to still processing any orders then already placed and accepted by Fanny Hill).

Copyright & other Intellectual Property Rights

Any and all copyright subsisting in the Website, including these T&C’S, vests in Fanny Hill and all rights not expressly granted are reserved.

You may download, view and print content from this Website for private and non-commercial purposes.

All the content, trademarks and data on this Website, including but not limited to, software, databases, text, graphics, icons, hyperlinks, private information, designs and agreements, are the property of or licensed to Fanny Hill and as such are protected from infringement by local and international legislation and treaties.

Hyperlinks, Framing, Spiders & Crawlers

Part 2 - Privacy & Information Policy

Fanny Hill shall take all reasonable steps to protect your personal information. For the purpose of this clause, "personal information" shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA). PAIA may be downloaded from: http://www.acts.co.za

Sales Records

A full record of every sale and related transaction between you and Fanny Hill shall be maintained on the Website for a period of 12 months following the date of such sale or related transaction. You shall thus only be able to view and print such record during such period, whereafter, you shall be responsible for retaining your own record of the relevant sale or related transaction.

Fanny Hill may electronically collect, store and use the following of your personal information:

•name and surname;

•birth date;

•gender;

•country of residence;

•closest city;

•non-personal browsing habits and click patterns;

•e-mail address;

•mobile number (if provided by you);

•IP address; and

•ID number / passport number.

Fanny Hill collects, stores and uses the abovementioned information for the following purposes:

•subject to your consent, to inform you of facts relating to your access and use of the Website;

Electronic Communications

When you visit the Website or send e-mails to Fanny Hill, you consent to receiving communications from Fanny Hill electronically and agree that all agreements, notices, disclosures and other communications sent by Fanny Hill satisfy any legal requirements, including but not limited to the requirement that such communications should be "in writing".

 

Part 3 - Return & Refund Policy

You may return most new, unopened items within 7 days of delivery for a full refund. We'll also pay the return shipping costs if the return is a result of our error (you received an incorrect or defective item, etc.).

You should expect to receive your refund within four weeks of giving your package to the Fanny Hill, however, in many cases you will receive a refund more quickly. This time period includes the transit time for us to receive your return from the shipper (5 to 10 business days), the time it takes us to process your return once we receive it (3 to 5 business days), and the time it takes your bank to process our refund request (5 to 10 business days).

If you need to return an item, simply login to your account, view the order using the "Complete Orders" link under the My Account menu and click the Return Item(s) button. We'll notify you via e-mail of your refund once we've received and processed the returned item.

COOLING OFF PERIOD

Save for certain exceptional cases (as listed below), Section 44 of the Electronic Communications and Transactions Act 25 of 2002 (“ECT Act”) entitles you to cancel any sale concluded on this Website within 7 days after date of receipt of the goods and to obtain a full purchase price refund within 30 days thereafter, subject to being charged by Fanny Hill, as the case may be, for the return of the goods. You will thus be able to return certain products that you are not satisfied with for any reason within such 7 day period.

Section 42(2) of the ECT Act sets out all the exceptions to the aforesaid ‘cooling-off right’. The exceptions include the following products in respect of which NO cooling off period shall apply:

•Products which by reason cannot be returned which include opened or damaged products.

You will only be entitled to a refund in respect of the exceptions listed above in the event and to the extent that any such refund is provided for under the express provisions of this Refund Policy herein below.

LATE DELIVERY

If a product purchased is not delivered within the agreed delivery period, or where no specific period was agreed, within 30 days after having purchased the Product, the ECT Act entitles you to cancel such sale on 7 days notice to the Fanny Hill of such product.

Should a product purchased be unavailable, Fanny Hill thereof must notify you and issue a full refund within 30 days after such notice.

Refunds on purchases from Fanny Hill

DEFECTIVE / DAMAGED / UNSUITABLE PRODUCTS

•GENERAL RULE: If, within 7 days after delivery of a product to you,

◦you find that the product is defective/faulty, unsuitable for the purpose for which it was indicated in the product description (or otherwise generally intended), not legal, or not reasonably durable (based on circumstances and product type) (hereinafter referred to as being “Defective”); and

◦you arrange to return such product to Fanny Hill for inspection (at your expense) by notifying Fanny Hill via email (to orders@fannyhill.co.za).

and the product is subsequently found -

◦to indeed be Defective, you are entitled to either (a) have the product repaired or replaced at Fanny Hill’s expense, or (b) be fully refunded for any expenses incurred;

◦NOT to be Defective, you will be liable for the costs incurred in having such product re-delivered to you.

•WHEN IS A PRODUCT ‘DEFECTIVE’? Please note that the following issues/problems will NOT render the product Defective as aforesaid and will not entitle you to any repair, replacement or refund:

◦faults resulting from normal wear and tear;

◦where you, or someone unauthorised to do so by Fanny Hill, has altered or damaged the product;

◦where a toy is not suitable for you or your partner;

◦Electronic equipment which shows evidence of (a) impact, sand, liquid or moisture damage; (b) dropping, mishandling or tampering; (c) battery or chemical corrosion; (d) damage caused by connected equipment; or (d) use contrary to the applicable instruction manual

•EXCEPTIONS TO THE GENERAL RULE:

◦Special Offers: If the product was ordered pursuant to a “Special Offer” and such product is no longer being offered at the special price, should you elect to have the product repaired or replaced (as opposed to being refunded), Fanny Hill will only be able to repair, not replace same.

◦Product types which have been opened.

◦Manufacturer’s Warranties/Guarantees: Certain products may carry additional manufacturer’s warranties/guarantees which are wider in scope, and/or longer in duration, than the 7 day warranty generally provided (as discussed above). Consequently, if a defect is discovered AFTER 6 months from delivery, you could still rely on the following:

■Some toy manufacturer’s guarantees are normally a 1 year guarantee against defects in workmanship and materials and are provided to you with the original packaging. Fanny Hill’s liability under such Electronic Toy Manufacturer Guarantee is restricted to the costs of repair or replacement of faulty goods or granting of a credit at the sole discretion of Fanny Hill and its suppliers after investigation and/or testing of goods.

■All Electronic Toy Manufacturer Guarantees are immediately null and void should any equipment be tampered with, or the seals on equipment be broken by anyone other than the manufacturer’s representative, or the goods be operated outside the manufacturer’s specifications.

■Under no circumstances will Fanny Hill be liable for any damage arising from any misuse or abuse of the goods.

■To obtain service under this warranty, the product together with the original invoice and proof of payment must be sent back to Fanny Hill.

NON-DEFECTIVE PRODUCTS

Products which are NOT defective, damaged or unsuitable as discussed above, but which you want to return for whatever reason, can be returned within 7 days from delivery, as explained above.

NOTE: Non-defective products must be returned in their original, un-opened packaging to be able to be returned for a refund.

PROCESSING OF REFUNDS

Should you be entitled to a refund for any reason, such refund shall –

a) in the case of payment having been made by credit card or EFT, be effected on the credit card account as the case may be, provided that if you are refunded on a credit card in respect of only a portion of any order placed by you, then any subsequent refunds processed in respect of that order will be credited to your Fanny Hill shopper profile in accordance with (b) below;

b) in other instances, be credited to your Fanny Hill shopper profile, in which case you have the right to request that the funds be paid into your bank account, being your bank account as reflected on Fanny Hill’s records. Fanny Hill will not, in this instance, pay funds into a third party bank account.

 

Part 4 - Delivery Policy

Delivery Charges:

Delivery charges rarely differ at Fanny Hill. We charge a standard flat rate on all deliveries within the borders of South Africa, the current rates are:

Johannesburg:

R50 for SA Postal Services

R85 for door-to-door delivery via Courier IT

Rest of Southern Africa:

R50 for SA Postal Services

R135 for door-to-door delivery via Courier IT

On orders over 10kgs, should there be a difference exceeding the standard rate, it will be billed to your account. Overseas orders will be charged a flat rate of R600 and notified of any discrepancies.

Deliveries

Where we deliver: Fanny Hill delivers to addresses both within and beyond the borders of South Africa, save for the following types of products which will only be delivered to addresses within the Republic of South Africa:

■Items that weigh 10kg or more;

Delivery Periods:

■Inside the borders of South Africa

All Fanny Hill items listed on the Website have an indication of the delivery time:

1-5 days – Fanny Hill endeavours to deliver your parcel as a next-day delivery service for main centres in South Africa. Should we not have

Main centres include any destination within a 50km radius of the following cities: Pretoria, Johannesburg, Bloemfontein, Cape Town, George, Port Elizabeth, East London, Durban, Pietermaritzburg and Nelspruit.

■Outside the borders of South Africa

Goods to the following international destinations are sent as follows:

◦African countries - delivery to a post office in such African country only;

◦All other countries - via airmail parcel post or via courier (the costs of courier delivery usually being very high and determined on an ad hoc basis).

Delivery usually takes place within 2 or 3 weeks after dispatch, however, seasonal peaks and delays at customs is outside the control of Fanny Hill and deliveries may take up to 12 weeks.

Stock availability:

Stocks of all goods on offer are limited. Fanny Hill shall take all reasonable efforts to ensure that when stock is no longer available, that offers thereof are discontinued. However, should Fanny Hill be unable to fulfil any order placed by you at the advertised price due to stock having sold out, Fanny Hill will notify you and you will be entitled to a refund of the amount paid by you for such product, as explained in more detail in the Refund Policy ("Refund Policy")

•IMPORTANT TO NOTE:

◦Delivery periods are only regarded as having commenced upon payment confirmation being received by Fanny Hill.

◦If products with different delivery times are ordered together, the product with the longest delivery time will determine the delivery time of all the products in the order. Should you thus wish to receive 24 hour products within 24 hours, for example, Fanny Hill recommends that you order such products separately from the products requiring longer delivery times.

◦Fanny Hill makes every effort to ensure that the information supplied on the Website is accurate. Where delays and out of stock situations occur, every reasonable effort will be made to inform the Purchaser.
